Acceptance of Terms By accessing this private ordering platform, creating an account, or placing an order, the user acknowledges that they have read, understood, and agree to the Terms of Service. Access is restricted to authorized users. Invitation Codes, account credentials, product information, pricing and other non-public portal information must not be shared with unauthorized persons. Products and Intended Purpose Products are supplied for their stated purposes, including research, evaluation, testing, or other purposes identified in the applicable product description. The purchaser is responsible for reviewing available product information and determining whether a product is appropriate for the intended purpose. Customer Responsibility The purchaser assumes responsibility for possession, handling, storage, application and use following delivery or pickup, and agrees not to use products in an unlawful, unsafe, unauthorized or improper manner. Research and Testing Products Where a product is specifically identified as being supplied for research, evaluation or testing purposes only, it is not represented as suitable for any other purpose. The purchaser is responsible for use consistent with descriptions, labeling, instructions and applicable requirements. Products Sold As-Is Except as expressly stated in writing or otherwise required by applicable law, products are supplied on an 'as-is' and 'where-is' basis without additional representations or warranties regarding suitability for a particular purpose. Nothing in the Terms is intended to exclude rights or liabilities that cannot lawfully be excluded. Improper Use To the extent permitted by applicable law, the platform operator, webmaster, Partners, affiliates and other persons involved in administering the platform are not responsible for unauthorized or improper use after delivery or pickup. The purchaser accepts responsibility for consequences resulting from the purchaser's unlawful, unauthorized, negligent or improper handling or use, subject to applicable law. Limitation of Liability To the maximum extent permitted by applicable law, the platform operator, webmaster, Partners, affiliates, service providers and their respective representatives will not be liable for indirect, incidental, special, consequential or similar damages arising from unauthorized, improper or unlawful use. Nothing excludes or limits liability where prohibited by applicable law. Orders Submission of an order does not necessarily constitute acceptance. Orders may be declined or cancelled for product unavailability, inventory discrepancies, pricing errors, payment issues, suspected misuse, violation of the Terms, or other operational/compliance reasons. Account Credit Account Credit is promotional/store credit unless expressly stated otherwise. It is not cash, is not transferable, cannot normally be withdrawn, and may only be used through the Customer account to which it was issued. Credit obtained through error, fraud, misuse or unauthorized activity may be corrected or reversed. Confidentiality Users must maintain the confidentiality of Invitation Codes, account credentials, product information, pricing, communications, documents and other non-public information. Invitation Codes must not be publicly posted, distributed, sold or shared with unauthorized persons. Account Suspension or Termination Access may be suspended or terminated where reasonably necessary due to unauthorized access, misuse, suspected fraud, violation of the Terms, or activity that may compromise the platform or its users. Changes to Terms The current Terms display an Effective Date and Last Updated Date. Where appropriate, users may be required to acknowledge materially revised Terms before continuing to use the platform.
